1. Terms of Use
These Terms of Use ("Terms") apply to your use of this website and any associated public-facing mobile sites, services, applications, or platforms (collectively, the "Sites"). Except for Section 17 (SMS Messaging Terms), these Terms do not apply to PPE Software products provided under a separate Software as a Service (SaaS) agreement. Section 17 applies to SMS messaging associated with those products and supplements, rather than replaces, the separate SaaS agreement. Please read these Terms carefully, as they affect your legal rights. By using the Sites, you agree to these Terms. If you do not accept them, do not use the Sites. In these Terms, "PPE," "we," "us," and "our" mean PPE Software LLC. "You" and "your" mean the person or entity using the Sites.
2. Copyrights, Trademarks, and Patents
All content available through the Sites, including text, graphics, design, drawings, software, and the selection and arrangement of that content, is protected by United States copyright and other applicable intellectual property laws. We grant you a limited, non-exclusive right to use the Sites for your own personal or internal business purposes. You may not access, download, copy, modify, distribute, transmit, display, reproduce, publish, license, create derivative works from, transfer, or sell any part of the Sites or their content for commercial purposes without our prior written permission.
All trademarks, service marks, trade names, logos, and other brand features displayed on the Sites are owned by PPE or their respective owners.
3. Prohibited Uses
You may not use the Sites to:
- Modify, disable, or interfere with any feature or security control of the Sites.
- Create derivative works based on the Sites.
- Rent, lease, lend, sublicense, resell, or provide commercial hosting services using the Sites.
- Infringe our intellectual property rights or the rights of any other person or entity.
- Use the Sites in any manner that violates these Terms or any applicable law, regulation, code, or regulatory requirement.
- Use the Sites in a fraudulent, malicious, or harmful manner, including by introducing viruses or malicious code.
- Damage, disable, overburden, impair, or compromise our systems or interfere with another user's use of the Sites.
- Collect, scrape, harvest, or attempt to decipher data, information, or transmissions from the Sites except as permitted by applicable law.
4. Social Media
We welcome responsible sharing of information about our products and services through social media. If you share Site content through social media, you grant us the right to reproduce and publish that post and to identify the username or social media handle used in the sharing activity. You are responsible for complying with the terms and policies of the social media platforms you use.
5. Third-Party Services
The Sites may include information, links, advertisements, chat services, integrations, or other content or functionality provided by third parties ("Third-Party Services"). We do not control Third-Party Services and are not responsible for their content, availability, or performance. We are not liable for damages or losses arising from Third-Party Services.
6. Website and Content Subject to Change
We work to keep the Sites and their content accurate and useful, but we do not guarantee that all content is complete, current, available, or error-free. This includes content related to product availability, specifications, features, and pricing. If we identify an error, we may correct it at any time. Some descriptions, measurements, and examples may be approximate and provided for convenience.
7. Product Availability and Pricing
We make reasonable efforts to fulfill orders and provide the products and services described on the Sites, but availability is not guaranteed. Some products or services shown on the Sites may not be available at all times. We may cancel orders, contact you regarding an order, discontinue products or services, or place limits on orders at our discretion.
If a pricing or other content error occurs, we reserve the right to revoke offers, cancel orders, and correct inaccuracies or omissions, including after an order has been submitted.
8. Indemnity
You agree to indemnify, defend, and hold harmless PPE, its licensors, agents, officers, directors, and employees from any third-party claims, actions, damages, liabilities, judgments, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to: (i) your use of the Sites, or the use of the Sites by anyone acting on your behalf, in violation of these Terms; (ii) your breach of these Terms; or (iii) your violation of any law, regulation, or third-party right.
9. Geographic Scope
The Sites are intended for use within the United States. Unless otherwise stated, claims regarding our products and services are made only with respect to the United States, and the Sites are intended to promote products and services offered there. We do not represent or warrant that the Sites are appropriate for use outside the United States.
10. Governing Law
These Terms, and any dispute arising out of or relating to them, are governed by the laws of the State of Florida, without regard to conflict of law principles. We may seek injunctive or other equitable relief in any court of competent jurisdiction when appropriate.
11. Entire Agreement and Severability
These Terms, our Privacy Policy, any additional terms posted with the Sites, and any separate agreements you enter into with us regarding the Sites constitute the entire agreement between you and PPE regarding the Sites and supersede prior or contemporaneous communications or understandings on that subject. If any provision of these Terms is found invalid, illegal, or unenforceable, that provision will be limited or removed only to the extent necessary, and the remaining provisions will remain in full force and effect.
12. No Waiver
If we do not exercise or enforce a right or remedy under these Terms or applicable law, that does not waive the right or remedy. Any waiver must be express and in writing to be effective.
13. Reservation of Rights and Feedback
Except for the limited rights expressly granted in these Terms, nothing gives you any right to use the PPE name, trademarks, logos, domain names, or other distinctive brand features. All right, title, and interest in and to the Sites, excluding third-party content, remain the exclusive property of PPE and its licensors. If you choose to provide comments, ideas, suggestions, or other feedback, we may use that feedback without restriction and without any obligation to you.
14. Survival
Any provision of these Terms that by its nature should survive termination or expiration will remain in effect after termination or expiration, including provisions relating to intellectual property, indemnity, limitations of liability, and governing law.
15. Additional Terms May Apply
If you subscribe to our SaaS offering, use a related mobile application, or participate in a promotion, giveaway, or other special program, additional terms may apply ("Additional Terms"). If these Terms conflict with any Additional Terms, the Additional Terms will control for that specific offering or program.
16. Changes to These Terms
We may revise these Terms from time to time in our sole discretion. When we do, we will update the "Last updated" date at the top of this page. Your continued use of the Sites after revised Terms become effective constitutes your acceptance of those changes.
17. SMS Messaging Terms
These SMS Messaging Terms apply to the text-message service provided by PPE Software LLC, including messages associated with your organization's PPE Software account. By expressly opting in to a particular SMS service, you agree to these messaging terms for that service and acknowledge our SMS Messaging Privacy disclosures.
Non-Marketing Messages Only
Our SMS service is limited to:
- Requested security messages: one-time passwords (OTPs), number-confirmation codes, and other verification codes that you request or expressly opt in to receive for account access or security.
- User-selected operational alerts: notifications that you personally subscribe to after authenticating and signing in to your PPE Software account, such as alerts that your assigned gear is overdue for cleaning or inspection.
We do not send marketing text messages. This includes advertising, promotional offers, sales solicitations, and affiliate marketing. An OTP request does not enroll you in operational alerts or any other recurring messaging program.
How You Opt In
You opt in by requesting an SMS security code or explicitly agreeing to receive SMS through the relevant PPE Software form. To subscribe to operational alerts, you must sign in, provide a cell phone number that you control, agree to SMS messaging, confirm your number, and select the alerts you want to receive. We send recurring operational alerts only for the subscriptions you choose.
Merely using the website, having a PPE Software account, or providing a phone number does not constitute consent to SMS. An administrator entering your number does not opt you in. Your consent is voluntary and is not a condition of purchase. We record your consent electronically; you may withdraw it as described below.
Message Frequency and Charges
Security-code messages are sent when you request them or use an SMS authentication flow you have opted in to. Operational alerts may recur, and their frequency varies with your selected subscriptions and the status of your gear, such as overdue cleaning or inspection requirements. Message and data rates may apply under your mobile provider's plan.
Stopping Messages and Getting Help
Reply STOP to stop receiving text messages. You may also request an SMS opt-out by emailing customerservice@ppesoftware.com. After you opt out, we will stop SMS messages covered by your request, except for a single opt-out confirmation where permitted. Further messages require renewed consent. Opting out of text messages does not delete your PPE Software account or cancel your organization's subscription.
Reply HELP for assistance, or contact PPE Software at customerservice@ppesoftware.com. Tell us or update your profile if you stop using a registered number or the number changes ownership.
Privacy and Delivery
We do not sell, rent, or share mobile phone numbers or SMS opt-in data and consent with third parties or affiliates for marketing or promotional purposes. Messaging providers and carriers may process information needed to deliver and support messages as described in our Privacy Policy. Delivery and timing depend on your carrier and network availability and are not guaranteed.
